TERMS AND CONDITIONS

  1. General terms, scope and validity

1.1. These terms and conditions of purchase and use (hereinafter "Terms") apply to all persons (hereinafter "Customer") and the online store fermetech.eu (hereinafter "Store") in relation to the legal relationships arising from the purchase of products through the Store.

1.2. In addition to these Terms, the legal relationships arising from the purchase of products through the Store are governed by the legislation in force in the Republic of Estonia, including the Law of Obligations Act, Consumer Protection Act, Personal Data Protection Act, regulations governing e-commerce, and the principles of good morals and business practices.

1.3. The Store reserves the right to amend these Terms and the price list due to its development and in the interest of better and safer use. Amendments and additions to the Terms and price list will be published on the website fermetech.eu and will enter into force from the moment they are published on fermetech.eu. If the Customer submits an order before the amendments enter into force, the Terms in force at the time of placing the order shall apply to the legal relationship between the Customer and the Store, unless otherwise provided by law or these Terms.

  1. Prices

2.1. The prices in the Store are valid during the payment term of the invoice specified in clause 4.2 of these Terms.

2.2. All prices include VAT. The standard VAT rate is 24%, but a different VAT rate may apply to certain products in accordance with applicable legislation.

2.3. A delivery fee is added to the purchased products, which is calculated and displayed on the product page or in the Customer’s shopping cart before confirming the order.

2.4. If the product price has been entered incorrectly by fermetech.eu and the Customer is informed before or after placing the order, and the Store and Customer cannot agree on a new price, the Store has the right to withdraw from the sales transaction, cancel the order, and refund the amount paid.

  1. Shopping cart and placing an order

3.1. The Customer’s shopping cart is created when the Customer clicks "Add to cart" and "Checkout".

3.2. The Customer can change the quantity of products in the shopping cart in the "Quantity" field.

3.3. On the checkout page, the Customer enters the required information, selects the delivery and payment method. Depending on the payment method chosen, the Customer is redirected to the payment partner’s page (maksekeskus.ee, EveryPay, or bank link), where payment can be made. After payment, an automatic order confirmation is sent to the Customer’s email address (if no confirmation is received, we recommend checking the spam folder).

3.4. The Customer must be attentive when placing an order, as the accuracy and correctness of the provided information affect the fast and trouble-free delivery of the products.

3.5. The sales contract is deemed concluded (Contract enters into force) from the moment 100% of the invoice amount issued by fermetech.eu has been paid.

  1. Payment for the order

4.1. Products can be paid for in the following ways:

  • Via bank links available on the checkout page

  • Via bank transfer

  • Via credit or debit card

4.2. The sales invoice is sent to the Customer by email and must be paid in full according to the chosen payment method.

4.3. If installment payment is available, the relevant terms and partners are listed separately on the payments page.

  1. Delivery and handing over of products

5.1. After the contract enters into force according to clause 3.5, products are delivered via the delivery method selected by the Customer at checkout.

5.2. The usual delivery time within Estonia is 2–5 business days from the contract entering into force. The exact delivery time depends on the chosen delivery method and destination.

5.3. If the ordered product is out of stock and must be specially ordered from the supplier, and it is evident that delivery within the indicated delivery period is not possible, or in other cases where timely delivery is not possible due to circumstances beyond the Store’s control, the Store will notify the Customer within 2–5 business days from the contract entering into force (as per clause 3.5) using the contact phone number or email provided at checkout. The Store will also inform the Customer of the estimated delivery time. If the Customer loses interest in the purchase due to the extended delivery time, the Customer has the right to cancel the order (see clauses 6.1 and 6.3), and the amount paid (including delivery fee) will be refunded.

5.4. For cross-border delivery, additional customs duties and fees may apply, which are the responsibility of the Customer. Delivery time may be longer for cross-border shipments and depends on the destination country. The Store offers worldwide delivery.

5.5. Products are delivered to the address indicated by the Customer at checkout. Changing the destination afterward is not possible.

5.6. The Customer must ensure the correctness of the contact information entered at checkout to avoid delays and misunderstandings in delivery. Fermetech.eu and the delivery service provider are not responsible for delivery delays and misunderstandings caused by inaccurate or incorrect information provided by the Customer.

  1. Cancellation and return of products (right of withdrawal)

6.1. The consumer has the right under the Law of Obligations Act to withdraw from a contract concluded in an online store within 14 days from receiving the product. The right of withdrawal applies only to a natural person (consumer) who purchases products outside their economic or professional activity.

6.2. To exercise the right of withdrawal, the Customer must notify the Store of the decision to withdraw by an unambiguous statement (e.g., by email). The Customer may use the standard withdrawal form available on fermetech.eu, but it is not mandatory.

6.3. In case of cancellation under clause 6.1, the amount paid (including delivery fee) is refunded to the Customer’s bank account within 14 days from the Store being informed of the cancellation, except as provided in clause 6.4. In case of withdrawal under clause 6.1, the refund is made within 14 days from receiving the notice of withdrawal and the returned product at the Store’s warehouse.

6.4. If the returned product is damaged, used, and the damage is caused by circumstances not attributable to the Store or due to improper use, the Store has the right to offset the decrease in value against the refund amount. The Store will send an offset statement to the Customer’s email. If the Customer disagrees, they may involve an independent expert to determine the decrease in value. Expert costs are shared equally, unless one party’s position is unjustified, in which case that party bears the costs.

6.5. The right of withdrawal does not apply in the following cases (according to § 53 (4) of the Law of Obligations Act):

  • The product has been used, damaged, and/or the packaging has been opened;

  • The product has been made to the Customer’s personal specifications or conditions (e.g., made according to the Customer’s measurements);

  • The product is perishable or has expired;

  • The product is sealed and is not suitable for return for health protection or hygiene reasons, and the seal has been opened after delivery;

  • The contract concerns a financial service whose price depends on fluctuations in the financial market during the withdrawal period, including services related to foreign currency or securities.

  1. Warranty and return of non-conforming products (right to submit claims)

7.1. The Store ensures that all sold products comply with the requirements of the European Union and the Republic of Estonia.

7.2. Each product has a manufacturer’s warranty period during which the manufacturer ensures conformity to the product description and promised features. Warranty terms are specified in the warranty document provided with the product or other documentation.

7.3. The warranty does not exclude or limit the Customer’s right to submit claims arising from law or these Terms.

7.4. Fermetech.eu is responsible for product non-conformity and defects that become apparent within 2 years from delivery, unless otherwise stated in the product manual. If no such statement exists, a 2-year liability period applies.

7.5. In case of non-conformity or defect, the Customer has the right to:

  • Request replacement with a compliant and defect-free product

  • Request repair

  • Request a price reduction

  • Withdraw from the contract and return the non-conforming product at the Store’s expense

7.6. In case of returning a non-conforming product, the paid amount (including delivery fee) is refunded to the Customer’s bank account within 14 days from receiving the notice of withdrawal and the returned product.

7.7. The warranty does not apply in the following cases:

  • Malfunctions caused by improper use and failure to follow instructions

  • Malfunctions caused by accidental or intentional damage by the Customer

  • Malfunctions caused by lightning or other natural phenomena (force majeure)

  • Malfunctions and physical damage caused by unintended or intentional physical damage

  • Malfunctions and physical damage caused by foreign objects, liquids, insects, excessive dust, etc.

  • Malfunctions and physical damage caused by non-original parts or unsuitable accessories

  • Products and parts with damaged, replaced, or removed serial numbers and control markings

  • Software, including pre-installed software, and operational disturbances caused by software

  • Damage caused by incorrect use, incorrect software installation, or use for unintended purposes

  • Wear-and-tear parts (filter bags, consumables, etc.) and packaging/documentation

  1. Liability and force majeure

8.1. The Store is liable to the Customer and the Customer is liable to the Store for damage caused by breach of these Terms, in accordance with Estonian law.

8.2. The Store is not liable for damage or delivery delays if caused by circumstances beyond the Store’s control that could not be foreseen (force majeure).

8.3. The Store’s liability is limited to the price paid by the Customer, unless otherwise required by law.

  1. Dispute resolution

9.1. Disputes between the Customer and Store are resolved by negotiations.

9.2. If negotiations fail, the consumer may contact the Consumer Disputes Committee operating under the Consumer Protection and Technical Regulatory Authority (www.ttja.ee/tarbijavaidlused).

9.3. The consumer may also use the Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/.

9.4. If the dispute is not resolved by the Consumer Disputes Committee or otherwise, the Customer and Store have the right to turn to Pärnu County Court.

9.5. Dispute resolution is governed by the laws of the Republic of Estonia.
